1. Services Overview
PDG provides:
- Fuel program management and related reporting services (“PDG Fuels”)
- Cloud-based trucking management software (“PDG TMS”)
Services are provided on a subscription or contractual basis as agreed between PDG and the Customer.
2. Eligibility and Authority
You represent that:
- You are entering into this agreement on behalf of a business entity.
- You have the authority to bind that entity to these Terms.
- All information provided to PDG is accurate and complete.
3. Account Registration and Access
Customers must create authorized user accounts to access PDG TMS and related systems.
Customers are responsible for:
- Maintaining confidentiality of login credentials
- Managing user permissions within their organization
- Ensuring authorized use of accounts
- Promptly notifying PDG of any unauthorized access
PDG supports role-based permissions and multi-factor authentication to enhance account security.
4. Acceptable Use
Customers agree not to:
- Use the Services for unlawful purposes
- Attempt unauthorized access to systems or data
- Interfere with platform security or integrity
- Upload malicious code or harmful content
- Misrepresent operational or financial information
PDG reserves the right to suspend or terminate access for violations of these Terms.
5. Payment Terms
Fuel Services
Billing cycles and payment terms are defined within the applicable fuel agreement. Failure to remit payment may result in suspension of fuel access.
TMS Subscription
Subscription fees are billed as agreed (e.g., per active truck or other defined metric).
Payments are processed through Stripe, a secure third-party payment processor. PDG does not store sensitive card information.
Late payments may result in service suspension.
6. Customer Data
Customers retain ownership of their operational and business data.
By using the Services, you grant PDG a limited license to process and store data solely for the purpose of delivering Services.
PDG handles personal information in accordance with its Privacy Policy and applicable Canadian privacy laws, including PIPEDA.
7. Data Security
PDG implements commercially reasonable security safeguards, including:
- Hosting on Microsoft Azure
- Encrypted data transmission
- Role-based access controls
- Multi-factor authentication support
While PDG employs modern security practices, no system can guarantee absolute security.
8. Service Availability
PDG strives to maintain reliable access to the Services. However, availability may be affected by:
- Scheduled maintenance
- Infrastructure updates
- Third-party service disruptions
- Events beyond PDG’s reasonable control
PDG does not guarantee uninterrupted or error-free service.
9. Intellectual Property
All software, platform features, documentation, and related materials are the intellectual property of PDG or its licensors.
Customers may not:
- Reverse engineer
- Copy or reproduce
- Resell or sublicense
- Modify or distribute
Any portion of the Services without written consent.
10. Termination
Either party may terminate Services in accordance with the applicable agreement.
PDG may suspend or terminate access if:
- Payments are overdue
- Terms are violated
- Fraud or misuse is suspected
Upon termination, access to the platform may be revoked. Data retention will be handled in accordance with PDG’s Privacy Policy.
11. Limitation of Liability
To the fullest extent permitted by law:
- PDG shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, business interruption, or data loss arising from use of the Services.
- PDG’s total aggregate liability shall not exceed the fees paid by the Customer in the preceding twelve (12) months.
12. Indemnification
Customers agree to indemnify and hold PDG harmless from claims, damages, or liabilities arising from:
- Misuse of the Services
- Violation of these Terms
- Inaccurate or unlawful operational data provided by the Customer
13. Governing Law
These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada.
Any disputes shall be resolved in the courts of Alberta and specifically Calgary.
14. Modifications
PDG may update these Terms periodically. Continued use of the Services following updates constitutes acceptance of the revised Terms.
